1. Introduction

Welcome to Corporate Legal Pty Ltd ABN 52 640 661 847 ("we", "us", or "our"). By accessing or using our website and subscribing to our services, you ("Subscriber" or "User") agree to be bound by these Terms and Conditions. Please read them carefully before proceeding.

2. Subscription Services

2.1 Subscription Tiers

We offer the following subscription tiers designed to assist small to medium-sized businesses:

Basic tier inclusions plus unlimited phone and email consultations with our legal team regarding general business matters.

Premium

$349 per month

Standard tier inclusions plus the preparation of one contract per year from the following options:
– Sale or Purchase of a Business
– Retail Lease (Landlord or Tenant)
– Commercial Lease (Landlord or Tenant)

Each subscription tier provides varying levels of access to legal precedents, document templates, and legal support.

2.2 Access and Usage

a.      Upon subscribing, you are granted a non-exclusive, non-transferable, and revocable licence to use the templates and precedents for your internal business purposes only. All intellectual property rights remain vested in Corporate Legal Pty Ltd.

b.      Subscribers may download templates and documents in PDF or Word format, but may not share, redistribute, resell, or otherwise provide access to any third party. Any breach of this condition may result in immediate termination of your subscription without refund, and we reserve the right to pursue legal action.

3. Refund Policy

3.1 No Refunds for Change of Mind

All purchases of digital products and subscription services are final, and we do not provide refunds or credits for change of mind, unused portions of a subscription period, or failure to cancel prior to renewal.

3.2 Consumer Guarantees & Faulty Services

In accordance with Australian Consumer Law (ACL), you may be entitled to a refund, repair, or replacement only if the digital product or subscription service:

  • Fails to function as described,

  • Is not of acceptable quality, or

  • Is not fit for its intended purpose as per our service description.

If you believe your purchase falls under these conditions, you must notify us in writing at info@corporatelegal.com.au within seven (7) days of identifying the issue, providing sufficient details and evidence of the problem.

3.3 Subscription Access & Usage

If you have already accessed or used any part of the digital product or service, you may not be eligible for a refund, as you have already received the benefit of the subscription. Any refund granted under ACL will be at our discretion and may be subject to a pro-rata adjustment based on the extent of use.

3.4    Automatic Renewals & Cancellations

a.      Subscription services are automatically renewed unless cancelled before the renewal date.

  1. It is your responsibility to manage your subscription and cancel it in advance to avoid unwanted charges.

  2. We do not provide refunds for failure to cancel prior to renewal.

3.5 Exceptional Circumstances

In rare cases, at our absolute discretion, we may consider refund requests on a case-by-case basis in extenuating circumstances. Such exceptions will be assessed individually and are not guaranteed.

4. Scope of Consultations and Exclusions

4.1 Scope of Phone and Email Consultations

Where your subscription tier includes unlimited phone and email consultations, this is limited in scope to legal discussions with you as the client, providing general advice, and guiding you through legal issues or questions related to your business.

This service does not include:

  1. Drafting or reviewing contracts (unless included under the “Professional” or “Premium” tier and limited to one contract per year as described).

  2. Conducting full legal assessments.

  3. Performing legal transactions on your behalf.

  4. Preparing detailed written legal advice or formal legal opinions.

  5. Communicating or corresponding with third parties, including other lawyers, counterparties, or regulatory bodies.

  6. Representing you in disputes, litigation, or handling matters likely to become contentious.

4.2 Additional Legal Work Outside Subscription

a.      If, in the course of a consultation, it becomes apparent that your matter requires work beyond the scope described in Clause 3.1, such as:

                          i.         Preparing detailed legal documents.

                         ii.         Handling a transaction from start to finish.

                        iii.         Drafting formal letters to third parties.

                        iv.         Responding to legal demands, litigation, or disputes.

                         v.         Engaging in correspondence with other parties.

                        vi.         We will advise you that the matter falls outside the scope of your subscription and a separate engagement is required.

b.      In such instances:

                          i.         We will provide you with a Cost Agreement and a Cost Disclosure in accordance with the Legal Profession Uniform Law (NSW), including an estimate of fees.

                         ii.         We will require you to sign the Cost Agreement before any work is undertaken.

                        iii.         We may require upfront payment into our trust account as security for future costs.

c.       You are under no obligation to engage us beyond your subscription, and you are free to seek assistance from any legal provider of your choice.

5. Payment Terms

5.1    Minimum Term and Commencement

a.      All subscriptions are subject to a minimum term of 12 months.

  1. The minimum term commences when you tick the checkbox agreeing to these Terms and Conditions and the first payment is successfully processed.

  2. Subscriptions may be paid:

                          i.         Annually upfront: A discount may be applied at checkout.

                         ii.         Monthly: Payments will be debited automatically on a recurring monthly basis.

5.2    Direct Debit Arrangements

a.      By subscribing, you authorise Corporate Legal Pty Ltd to automatically debit your nominated bank account or credit card for the subscription fees according to your selected payment frequency.

b.      It is your responsibility to ensure sufficient funds are available. Dishonoured payments may result in suspension of services until payment is received.

5.3    Automatic Renewal

a.      Subscriptions will automatically renew for a further 12-month period unless you provide written notice of termination at least 30 days before the renewal date.

b.      You will receive email reminders before the renewal date.

6. Cancellation and Early Termination

6.1    Subscriber-Initiated Termination

a.      Subscribers wishing to terminate their subscription must submit a written termination request via email to info@corporatelegal.com.au.

  1. Your termination will be confirmed in writing by us.

  2. Your subscription will remain active until the end of the minimum 12-month term.

  3. If you terminate before the end of the minimum term and are paying monthly, an invoice will be raised for the balance of the minimum term. Termination will not take effect until the invoice is paid in full. Monthly direct debits will continue until such time as this termination invoice is paid.

6.2    Termination by Corporate Legal

a.      We may terminate your subscription if:

i.        You breach any provision of these Terms and Conditions.

ii.       You fail to make payments as required.

iii.      You misuse or distribute our intellectual property.

b.      If we terminate due to a breach, all outstanding fees for the remainder of the minimum term will become immediately due and payable.

c.       Upon termination (by either party), you must cease using our templates and delete any copies you have downloaded.

7. Intellectual Property

a.      All content, templates, and legal precedents provided through our subscription service are owned by Corporate Legal Pty Ltd.

b.      You must not copy, distribute, resell, or use our content for commercial purposes beyond your internal business needs.

c.       Any unauthorised use of our materials will be considered a breach of these Terms and Conditions, and we reserve the right to take appropriate legal action.

8. Template Updates, Accuracy and User Responsibility

a.      We take care to ensure that the templates and precedents made available to subscribers reflect the latest legal developments. However:

                          i.         We do not guarantee the accuracy, currency, or completeness of any document at the time of your use.

                         ii.         Each document will contain a date indicating when it was last updated. It is your responsibility to review this date and ensure you are satisfied it reflects any major legislative or regulatory changes relevant to your matter.

                        iii.         The templates are intended as general guidance only and do not constitute legal advice. You should seek independent legal advice before relying on any document.

                        iv.         Corporate Legal Pty Ltd is not liable for any loss, damage, or legal consequences arising from your reliance on any document provided through our subscription service.

b.      We reserve the right to update, amend, or replace templates at any time without prior notice. If you identify an error or inaccuracy in any template, please notify us by emailing info@corporatelegal.com.au.

9. Privacy and Data Collection

a.      We collect and retain personal information, including your name, business details, payment details, and contact information, for the purpose of:

                          i.         Managing your subscription.

                         ii.         Processing payments via direct debit.

                        iii.         Sending important updates about your subscription, renewals, and changes to our services.

                        iv.         Providing occasional marketing and subscription-related communications via email.

b.      By subscribing, you consent to us storing your payment details and receiving email communications from Corporate Legal Pty Ltd. You may opt out of marketing emails at any time, but you cannot opt out of essential service communications regarding your subscription.

c.       Your data will be handled in accordance with the Australian Privacy Principles under the Privacy Act 1988 (Cth).

10. Right to Modify, Add, or Remove Precedents

a.      We reserve the right to add, modify, update, or remove any precedent templates from our Precedent Library at any time, for any reason, including but not limited to improvements, compliance updates, or business strategy decisions. Any precedents that have been removed may not be available for future purchase or access, at our sole discretion.

b.      We do not guarantee the continued availability of any specific precedents or templates. Customers who have purchased precedents will retain access to the version they purchased at the time of sale, but we are not obligated to provide updates, modifications, or replacements unless explicitly stated at the time of purchase.

11. Exclusive Rights to Sell & Distribute

a.      We retain the right to sell and distribute our precedent templates through multiple channels, including but not limited to our website, third-party platforms, or any future Corporate Legal online shop, which may be established at our discretion.

12. Copyright & Intellectual Property Rights

a.      All precedent templates, documents, and materials provided in our precedents library are the exclusive intellectual property of Corporate Legal and are protected under Australian copyright law. By purchasing a precedent, you are granted a limited, non-exclusive, non-transferable licence to use the template for your own business or personal use.

b.      You may not:

i.        Copy, distribute, resell, or sublicense any part of the precedents.

ii.       Modify and resell the documents as your own.

iii.      Share the templates with third parties outside your organisation without express written permission.

c.       Unauthorised use, reproduction, or distribution may result in legal action.

13. Limitation of Liability

a.      Our services, including legal templates and consultations, are provided as general business support only and do not constitute formal legal advice tailored to your specific circumstances.

b.      We are not liable for any decisions or actions taken by you based on the use of our services or content.

c.       We strongly recommend seeking independent legal advice if you require guidance specific to your situation.

11. Amendments

a.      Corporate Legal Pty Ltd reserves the right to amend these Terms and Conditions at any time. Subscribers will be notified of changes via email or a notice on our website.

b.      Continued use of the subscription service after such amendments constitutes acceptance of the updated Terms and Conditions.

14. Governing Law

These Terms and Conditions are governed by the laws of New South Wales, Australia, and disputes arising in connection with these terms will be subject to the exclusive jurisdiction of the courts of New South Wales.
